Terms of ServiceLAST PAYCHECK

Preamble

These Terms of Service (the “Terms”) set out the conditions for using the online game “AIに仕事とられた (Last Paycheck)” and related services (collectively, the “Service”) provided by 10dots (person responsible for operation: Kenji Koikeda; the “Operator”). Users shall review and agree to these Terms before using the Service.

Article 1 (Application)

1.These Terms apply to all relationships between the Operator and users in connection with their use of the Service.

2.The Privacy Policy, point sales terms, ranking rules, in-game rules, and other specific conditions separately displayed by the Operator on or through the Service form part of these Terms.

3.If a specific condition conflicts with these Terms, the specific condition disclosed to the user in advance shall prevail with respect to the relevant matter. Any provision that violates applicable law shall not apply.

Article 2 (Definitions)

The following terms have the meanings set out below in these Terms:

1.“Guest” means a user who uses the Service without completing membership registration through a Google Account or other account, and who uses the Service through anonymous credentials or a similar mechanism.

2.“Member” means a user who has completed registration using a method specified by the Operator.

3.“Points” means digital content that may be used only for role applications and other purposes designated by the Operator within the Service. Points include Paid Points and Free Points.

4.“Paid Points” means Points acquired by paying the consideration specified by the Operator.

5.“Free Points” means Points acquired without payment in accordance with conditions specified by the Operator, such as completing a game, receiving a ranking reward, or participating in a campaign.

6.“Application” means an expression of a user's desire to be assigned a role before a game begins. Application types include Basic Applications, Priority Applications, Guaranteed Applications, and other types displayed on the application screen.

7.“Room” means an individual game session in which users and NPCs provided by the Operator participate.

8.“NPC” means an automatically controlled participant provided by the Operator.

Article 3 (Conditions of Use; Minors)

1.Users shall use the Service in compliance with these Terms and applicable laws.

2.A user under 18 years of age must obtain the consent of their legal representative before purchasing Paid Points. The Operator may implement age verification, purchase restrictions, and other necessary measures.

3.This Article does not restrict a minor's statutory right to rescind a transaction or any other right provided by applicable law.

4.A user may be unable to use all or part of the Service if the user does not satisfy conditions specified by the Operator concerning the operating environment, region, age, or other requirements.

Article 4 (Accounts and Authentication Credentials)

1.Guests may use the Service without registration. However, an account, Points, game records, and other data may become unrecoverable due to deletion of browser data, cookies, or app data; a change of device or browser; loss of authentication state; or other circumstances. Guests shall understand this limitation before beginning to use the Service.

2.The Operator may use Firebase Authentication or other external services for registration and authentication. The terms of the relevant provider may also apply to use of those services.

3.Users are responsible for managing their authentication credentials and accounts and shall not permit third parties to use them. Lending, transferring, or selling an account is prohibited.

4.Users shall not use multiple accounts to gain an improper advantage with respect to Points, draws, rankings, or other results, or to circumvent a suspension or other restriction.

5.Only Members may purchase Paid Points.

Article 5 (Withdrawal and Account Information)

1.A Member may request withdrawal using the method specified by the Operator. Upon withdrawal, Points, ranking records, game history, and other information may be deleted or processed so that the individual can no longer be identified, and may become unrecoverable.

2.The Operator may retain transaction records and other information for a specified period to the extent necessary to comply with legal obligations, handle payments and refunds, prevent fraud, resolve disputes, or pursue other legitimate purposes.

3.Before withdrawing, users should check their Point balance and whether they may be entitled to a refund. Points and other items that have expired or been extinguished due to withdrawal cannot be restored, except as otherwise required by applicable law.

Article 6 (Issuance, Expiration, and Use of Points)

1.Paid Points will be issued after the Operator confirms completion of payment. Free Points will be issued after the Operator confirms that the applicable award conditions have been met.

2.Paid Points expire at the same time of day three calendar months after the purchase confirmation date and time. If the corresponding date does not exist in the relevant month, the expiration time is the same time on the last day of that month. Free Points expire at the same time of day 90 days after the date and time on which they are confirmed as awarded. Points expire when the applicable expiration time is reached.

3.The Operator will display the type, balance, and expiration date/time of Points on the Point screen or elsewhere in the Service. If a display malfunction occurs, the Operator's transaction records will be used to verify the relevant information.

4.When Points are consumed, Paid Points will be used first, followed by Free Points. Within each of Paid Points and Free Points, Points with the earliest expiration time will be used first. The order in which Points are consumed must match the display in the Service.

5.The Operator will display the holding limit, award limit, and treatment of any excess Points in the Service before the relevant Points are awarded or purchased. Free Points in excess of the applicable limit may not be awarded.

6.Points may be used only for designated purposes within the Service. They may not be exchanged for cash, refunded (except where provided for in these Terms or required by law), transferred, lent, or sold to another user. Points may not be used as a means of payment outside the Service.

7.Using Points does not change a user's initial in-game funds, ability scores, or other game conditions, unless a specific effect is stated on the application screen.

8.The Operator may cancel or invalidate Points where there are reasonable grounds to confirm that they were obtained improperly. Where practicable, the Operator will notify the user of the reason and provide an opportunity to explain.

Article 7 (Purchases and Payments)

1.Paid Points are purchased through Stripe, Inc. or another payment service designated by the Operator. Payment service providers handle payment information such as card numbers, and the Operator does not ordinarily store card numbers or similar information. However, the Operator may record payment status, transaction IDs, purchased items, amounts, and other information necessary for operation and inquiries.

2.The purchase page and final confirmation screen shown before the order is placed will display the number of Points, price, currency, taxes, final amount charged, payment method, timing of Point delivery, cancellation and refund conditions, and other information required by law. Users shall review the final confirmation screen before completing a purchase.

3.When sales are displayed in Japanese and charged in Japanese yen, the total price including applicable consumption tax and similar taxes will be displayed. For sales displayed in a language other than Japanese and charged in US dollars or another currency, the final amount including taxes and fees will also be disclosed before payment is confirmed.

4.A cancellation or refund after a purchase has been completed will not be accepted at the user's convenience, except where required by law or where the cancellation or refund is attributable to a cause for which the Operator is responsible. For an erroneous charge, duplicate payment, or failure to credit Points despite completed payment, users should contact the Operator through the designated contact channel and provide transaction details.

5.If a payment is reversed, refunded, or charged back, the Operator may cancel the unused Points associated with that transaction or take other reasonable measures necessary to prevent improper use. Unless prior notice would be inappropriate in the circumstances, the Operator will notify the user of the reason for the measure.

Article 8 (Applications, Role Assignment, and Point Consumption)

1.Application types, eligible roles, required Points, the effect of each application type, the application period, and material conditions concerning assignment will be displayed on the application screen before the user confirms an Application. Users shall review the displayed conditions before submitting an Application.

2.Points are not consumed when an Application is submitted. The number of Points displayed on the relevant screen is consumed when an assignment under the relevant application type becomes effective. Points are not consumed if the assignment does not become effective.

3.A Priority Application receives priority over a Basic Application or other application type only to the extent stated on the application screen. The priority order, scope, and specific effect are determined by the information displayed on that screen. A Priority Application does not guarantee assignment beyond what is expressly stated there.

4.A Guaranteed Application guarantees assignment to the relevant role once the Application has been accepted. If the number of Guaranteed Applications for a role exceeds the number of seats for that role, the Operator will prepare an additional Room for the excess applicants and assign them to that role.

5.A Room assigned through a Guaranteed Application is not necessarily the same Room as those of other applicants. The Service will display the Room to which the user has been assigned. Unless the user separately selects otherwise, a Guaranteed Application will not automatically be converted into a Basic Application or another application type.

6.No Points will be consumed if a Room is cancelled before it begins. If a Room is cancelled for reasons attributable to the Operator before 20 ticks (the in-game unit of time) have elapsed after the Room begins, the Operator will return the Points consumed. As a general rule, the original Point type and expiration date will be restored. If the original expiration date has already passed, the returned Points will be valid for 90 days from the date of return.

7.If a Room has fewer participants than required, an NPC may take one or more roles. The Operator may not disclose the details of the game's draw algorithm or individual information about other applicants. However, material information required for a purchase decision, including the key effects of each application type, and the number of Points required, will be displayed in advance.

Article 9 (Rankings and Rewards)

1.Rankings are generally limited to Members; Guests are not listed. The ranking rules published in the Service will specify the ranking unit, eligible roles, ranking method, publication period, eligibility criteria, and grounds for exclusion.

2.Rankings are generally determined separately for each role based on total assets at the end of a game. The ranking rules will govern treatment of bankruptcy, mid-game entry, disconnection or departure, NPC substitution, and similar situations.

3.Changes to ranking rules will be announced in the Service with the details of the change and its effective date. As a general rule, changes apply to games that begin after the effective date and will not be applied retroactively in a manner that disadvantages users in games already in progress. This does not apply where a change is necessary to address fraud or a serious defect.

4.If Points are awarded as ranking rewards, the eligibility period, award conditions, number of Points, and award timing will be displayed in the Service. Where fraud is reasonably confirmed, the Operator may correct rankings, delete records, or cancel rewards obtained improperly.

Article 10 (Nicknames and Public Displays)

1.Members may set nicknames that appear in rankings and similar displays. Do not include your real name, address, telephone number, email address, or other information that could identify you personally.

2.Nicknames that harass others, contain discriminatory or defamatory content, are obscene or unlawful, impersonate another person, infringe third-party rights, or are otherwise inappropriate for operation of the Service are prohibited.

3.The Operator may change, hide, or delete a nickname that violates this Article. The scope of information displayed in rankings and the retention period are governed by the ranking rules and Privacy Policy.

Article 11 (Prohibited Conduct)

Users shall not engage in any of the following:

1.Conduct that violates laws or public order and morals.

2.Unauthorized access to, excessive loading of, interference with, or exploitation of vulnerabilities in the Service's servers, network, authentication, payment, or game systems.

3.Improper operation using automated programs or similar means, including improper acquisition of Points, rankings, or draw results.

4.Improperly gaining an advantage in Points, draws, rankings, or similar matters by using multiple accounts or colluding with other users.

5.Selling, transferring, lending, cashing out, or arranging the sale, transfer, lending, or cashing out of Points.

6.Infringing the rights or interests of other users, third parties, or the Operator; defaming, threatening, or impersonating another person.

7.Deliberately exploiting a defect in the Service or improperly using a serious defect after discovering it.

8.Circumventing a suspension or other restriction.

9.Repeatedly joining a game and deliberately spending down in-game funds to go bankrupt within a very short time, or otherwise participating in a way that disrupts other users' game experience or runs contrary to the purpose of the game.

10.Any other conduct reasonably found inappropriate in light of the purpose of the Service, the interests of other users, and generally accepted social standards.

Article 12 (Restrictions and Disciplinary Measures)

1.If a user violates these Terms, or improper use or a security risk is reasonably suspected, the Operator may take necessary and proportionate measures after considering the nature and seriousness of the violation and the likelihood of recurrence. Such measures may include a warning, restriction of features, temporary suspension, account suspension or deletion, correction of records, and cancellation of Points related to the improper conduct.

2.As a general rule, the Operator will notify the user of the reason for a measure and provide an opportunity to explain. However, notice may be given afterward where prior notice would be inappropriate because of an urgent security response, the need to prevent further improper activity, a legal requirement, or other circumstances.

3.Measures under this Article do not categorically exclude any refund, rescission, or other right available to users under applicable law. The treatment of Paid Points will be determined in accordance with the relationship between the measure and the violation, applicable law, and these Terms.

4.For conduct described in item 9 of the preceding Article (repeatedly going bankrupt deliberately within a very short time after joining a game), the Operator may, automatically or at its discretion, suspend the account's use of the Service (including joining rooms) based on criteria set by the Operator, such as the average number of ticks survived before bankruptcy in the user's recent participations as a worker being at or below a certain number.

5.If an account is suspended under the preceding paragraph or any other provision of this Article, the Operator is unable to provide a refund for Paid Points or Free Points held by that account, except where a refund is required by applicable law.

6.A user who disagrees with a suspension may contact the Operator through the designated contact channel. The Operator will review the matter and lift the suspension if it was made in error.

Article 13 (Advertising and External Services)

1.The Service may display advertisements or external links from sponsors or other third parties. Advertisements will be identified in a way that enables users to recognize them as advertisements.

2.External websites and services must be used in accordance with the terms established by their respective providers. The Operator does not guarantee the content or safety of external websites or services. This does not apply to damages for which the Operator is responsible or to any liability that the Operator cannot exclude under applicable law.

Article 14 (Intellectual Property Rights)

Copyrights and other intellectual property rights in programs, text, images, designs, names, and other elements of the Service belong to the Operator or their respective rightful owners. Except where permitted by law, users shall not reproduce, republish, distribute, modify, sell, or otherwise use such material beyond the scope of personal use without prior permission from the Operator or the relevant rights holder.

Article 15 (Changes to, and Suspension of, the Service)

1.The Operator may change the content of the Service, game rules, versions, and other elements where necessary for game balancing, feature improvements, security responses, legal compliance, or other operational reasons.

2.Due to version changes, historical game records may no longer be directly comparable with new records, or historical records may be deleted or hidden. The Operator will announce material changes in advance to the extent reasonably practicable.

3.The Operator may temporarily suspend all or part of the Service due to maintenance, outages, suspension of external services, disasters, or other circumstances. The Operator will make reasonable efforts to restore the Service where practicable.

Article 16 (Termination of the Service and Refunds for Paid Points)

1.If the Operator discontinues all or part of the Service, the Operator will announce the discontinuation through the Service with a reasonable period of advance notice. If urgent circumstances require it, notice may be given after discontinuation.

2.If the entire Service is permanently discontinued, the Operator will refund Paid Points that have not expired and remain unused at the time of discontinuation, calculated using the following formula for each purchase lot:

Amount actually paid for the purchase lot (including tax) × number of unused, refund-eligible Paid Points remaining from that lot ÷ total number of Paid Points issued in that lot. Amounts less than one Japanese yen will be rounded down. Free Points and Points awarded as free bonuses are excluded from the refund.

3.The discontinuation notice will specify how to request a refund, the information required for identity verification, and the application period (generally 60 days from the service discontinuation date). The Operator will bear bank transfer fees and similar costs necessary to make the refund. If applicable law prescribes a different procedure, period, or refund method, that law will prevail, and this paragraph does not restrict rights provided by law.

4.If only a particular feature or world is discontinued, no refund will generally be made where Points can continue to be used for the same or substantially equivalent purpose. If the discontinuation eliminates the ability to use the Points, or materially eliminates a principal use disclosed at the time of purchase and no reasonable equivalent alternative can be provided, the Operator will refund the unexpired, unused Paid Points as of the discontinuation date using the formula in paragraph 2, with necessary adjustments. The scope, method, and application period will be specified in the discontinuation notice.

Article 17 (Disclaimers and Scope of Warranties)

1.The Service is a simulation game about AI and the economy. Events, figures, “G,” and other currencies or assets in the game are fictional and do not constitute real-world financial products, investment advice, or forecasts or advice concerning economic trends.

2.The Operator does not warrant that the Service will always be available, that errors, interruptions, or unauthorized access will never occur, that the Service will operate identically on all devices and browsers, or that game records can always be saved or restored. The Operator will make reasonable efforts to investigate and correct defects.

3.This Article does not exclude liability arising from the Operator's intentional misconduct or gross negligence, or any liability that cannot be excluded under the Consumer Contract Act or other applicable laws.

Article 18 (Damages and Limitation of Liability)

1.If the Operator causes damage to a user in connection with the Service and is liable for that damage under applicable law, the Operator will be liable in accordance with applicable law for ordinary and direct damages having a reasonable causal relationship to the event attributable to the Operator.

2.The liability described above will not be limited where the damage results from the Operator's intentional misconduct or gross negligence, where a limitation is not permitted by law for damage to a user's life or body, or in any other case where applicable law does not permit a liability cap.

3.For damage caused by the Operator's ordinary negligence that does not fall under paragraph 2, the maximum amount of damages will be the greater of (a) the total consideration paid by the user for the Service during the 12 months preceding the date on which the event causing the damage occurred, and (b) JPY 10,000. If applicable law requires a higher amount, applicable law will prevail.

Article 19 (Personal Information and Other Data)

1.The Operator's handling of personal information and related data is governed by the separately published Privacy Policy. Users should review the Privacy Policy before using the Service.

2.The Operator may process information necessary to provide the Service, including information for account administration, game operation, Points and payment processing, fraud prevention, and customer support. The Privacy Policy will describe the external services used, data items collected, retention periods, and handling of information after withdrawal in specific terms.

Article 20 (Notices and Communications)

1.The Operator may notify users through notices in the Service, communications to registered contact details, or another method the Operator considers appropriate. For material changes and discontinuation of the Service, the Operator will provide advance notice to the extent reasonably practicable.

2.Users should contact the Operator using the contact details in Article 22. For questions about Point purchases, users may be asked to provide the payment date and time, transaction ID, or other necessary information.

Article 21 (Changes to These Terms)

1.The Operator may change these Terms when necessary due to amendments to laws, changes to the Service, or other reasons.

2.Changes will be made in accordance with applicable law, taking into account the necessity of the change, the appropriateness of the revised terms, whether the change serves the general interests of users, and other relevant factors. The Operator will specify the content of the change and its effective date and give notice through the Service or another appropriate method.

3.For changes that materially disadvantage users, the Operator will provide reasonable advance notice and obtain users' consent where required by law. If the terms of use or principal purposes of Paid Points are changed to users' disadvantage, the Operator will, in accordance with applicable law, offer refunds or alternative measures where necessary. Users who do not agree to a change may discontinue use of the Service. Continued use after a change will not, by itself, be treated as individual consent where such consent is required by law.

Article 22 (Governing Law, Jurisdiction, and Contact)

1.These Terms are governed by and construed in accordance with the laws of Japan.

2.To the extent permitted by law, the Tokyo District Court or Tokyo Summary Court will have exclusive agreed jurisdiction as the court of first instance for disputes relating to the Service. However, this does not override jurisdiction granted to another court by applicable law.

3.Contact for inquiries concerning the Service: contact@studio10dots.com.
